Please read these Terms and Conditions carefully before using the GRIND Global app by GRIND Basketball. By creating an account, subscribing, or using the App in any way, you agree to be bound by these Terms. If you do not agree, please do not use the App.

1. Acceptance of Terms
These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and GRIND Guam, operating the GRIND Global mobile application and related services (collectively, the "App," "Service," "we," "us," "our").
By downloading, accessing, registering for, or using the App in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must not access or use the App.
If you are accessing or using the App on behalf of a minor (a "Parent Account" or "Coach Account" managing an "Athlete Account"), you represent that you have the legal authority to bind that minor to these Terms and agree to be responsible for their compliance with this Agreement.
2. Definitions
- Account — A registered user profile created within the App, including Athlete, Parent, Coach, or Administrator account types.
- Athlete — A User who participates in training content, drills, programs, or challenges through the App.
- Content — All text, video, images, graphics, data, statistics, and other materials made available through the App, whether created by GRIND Global or submitted by Users.
- Minor — Any User under the age of 18, or under the applicable age of majority in their jurisdiction of residence.
- Parent — A parent or legal guardian who creates or manages an account on behalf of a Minor.
- Subscription — Any paid plan granting access to premium features or Content within the App.
- User Content — Any Content submitted, uploaded, or transmitted by a User through the App, including video clips, comments, and progress data.
3. Eligibility and Account Types
3.1 Eligibility
The App is intended for use by athletes of all ages, with the understanding that Minors require Parental involvement as described in Section 6. By using the App, you represent that all information you provide is accurate and that you have the legal capacity to enter into this Agreement, or that a Parent or legal guardian has done so on your behalf.
3.2 Account Types
The App supports multiple account types, including:
- Athlete Accounts — for individual users engaging in training content and progress tracking.
- Parent Accounts — for parents or legal guardians managing or monitoring a Minor's Athlete Account.
- Coach Accounts — for coaching staff with access to certain administrative or content-management features.
- Administrator Accounts — for GRIND Guam personnel managing the App.
Each account type may have different features, permissions, and access levels, as determined by GRIND Guam in its sole discretion.
4. Description of Services
The App provides basketball player development content and tools, including but not limited to:
- Basketball training drills and instructional videos
- Structured, multi-week training programs
- Skill challenges and milestone tracking
- NBA Signature Move breakdowns and film study content
- Player progress tracking and workout logging
- Scrimmage film and educational content
- Practice schedules, event calendars, and camp information
- Team announcements and community updates
- AI-powered workout, training, and meal generation tools
- Push notifications
- Athlete, Parent, and Coach account features
GRIND Guam reserves the right to modify, add, or remove any feature of the App at any time, as further described in Section 16.
5. User Accounts and Registration
5.1 Account Creation
Users create Accounts using a valid email address and password, or such other registration method as GRIND Guam may permit. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
5.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You agree to notify GRIND Guam immediately of any unauthorized use of your Account.
5.3 One Account Per User
Users may not create multiple Accounts to circumvent restrictions, manipulate progress tracking, or otherwise misuse the App.
6. Parental Consent and Management of Minor Accounts
6.1 Parental Involvement Required
Because many Users are Minors, GRIND Guam requires Parental involvement in the creation and use of Athlete Accounts belonging to Minors. A Parent must review and accept these Terms, the Privacy Policy, and any applicable liability waiver on behalf of a Minor before the Minor may use the App.
6.2 Parent Account Permissions
A Parent Account may be used to create, monitor, manage, or restrict features within an associated Athlete Account, including access to certain Content, communication features, or progress data, subject to the App's available functionality.
6.3 Parental Responsibility
Parents are solely responsible for supervising their Minor's use of the App, including physical activity performed as a result of App Content, as further described in Section 11.
7. Children's Privacy (Under 13)
7.1 General Policy
The App permits use by children under the age of 13, subject to verified Parental consent and management through a Parent Account, in accordance with the Children's Online Privacy Protection Act ("COPPA") and other applicable children's privacy laws.
7.2 Parental Consent
Before a child under 13 may create or use an Athlete Account, GRIND Guam requires that a Parent create a Parent Account, provide verifiable consent, and agree to these Terms and the Privacy Policy on the child's behalf.
7.3 Limited Collection
GRIND Guam will limit the collection of personal information from children under 13 to what is reasonably necessary for participation in the App's features, as described further in the Privacy Policy.
7.4 Parental Rights
Parents may review, request deletion of, or refuse further collection of their child's personal information at any time by contacting GRIND Guam using the information in Section 27.
8. Intellectual Property Rights
8.1 Ownership
All Content provided through the App, including but not limited to original GRIND Global training videos, basketball drills, instructional videos, coaching resources, graphics, logos, photos, and compiled player statistics and progress data (excluding individual User Content as defined in Section 10), is the exclusive property of GRIND Guam or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.
8.2 Restrictions
You may not copy, reproduce, distribute, redistribute, download, resell, publicly display, modify, or create derivative works from any Content, in whole or in part, without the prior written permission of GRIND Guam, except as expressly permitted for personal, non-commercial use within the App.
8.3 Trademarks
"GRIND Global," "GRIND Guam," and associated logos are trademarks of GRIND Guam. No right or license is granted to use any such trademarks without prior written consent.
9. User Conduct
You agree that you will not, in connection with your use of the App:
- Upload, transmit, or share any illegal, unlawful, or infringing content
- Harass, threaten, bully, or abuse any other User
- Share offensive, obscene, or otherwise inappropriate material
- Attempt to hack, disrupt, or gain unauthorized access to the App or its systems
- Reverse engineer, decompile, or disassemble any portion of the App's software
- Share copyrighted content belonging to third parties without authorization
- Cheat, manipulate, or falsify leaderboards, progress tracking, or challenge results
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Use the App for any unlawful purpose or in violation of any applicable local, state, national, or international law
GRIND Guam reserves the right, in its sole discretion, to investigate and take appropriate action against any User who violates this Section, including suspension or termination of the User's Account, as described in Section 22.
10. User-Generated Content and Submissions
10.1 License Grant
If the App permits Users to submit User Content, you grant GRIND Guam a non-exclusive, royalty-free, worldwide, transferable license to use, host, store, display, and process your User Content within the App for the purpose of providing and improving the App's features, including displaying progress data, video clips, and comments to Coaches or linked Parent Accounts as described in the Privacy Policy.
10.2 Content Responsibility
You are solely responsible for all User Content you submit. You represent that you have all necessary rights to submit your User Content and that it does not violate any law or third-party rights. GRIND Guam may remove or restrict any User Content at its sole discretion without notice.
10.3 Moderation
GRIND Guam may, but is not obligated to, monitor or review User Content. We are not liable for User Content or for any errors or inaccuracies in submitted data.
11. Basketball Assumption of Risk and Liability Waiver
Basketball and physical training are inherently dangerous activities that carry the risk of serious injury or death. By using the App and following any training content, drills, programs, or challenges, you acknowledge and voluntarily assume all risks associated with physical activity, including but not limited to muscle strains, joint injuries, sprains, fractures, head injuries, and other physical harm.
You agree that GRIND Guam, its coaches, employees, and affiliates are not liable for any injury, loss, or damage arising from your use of the App or participation in any training activity. If you are a Parent accepting these Terms on behalf of a Minor, you accept these risks on behalf of the Minor and agree to supervise their physical activity.
12. Medical Disclaimer
The App provides training and fitness content for informational purposes only. Nothing in the App constitutes medical advice or a recommendation to engage in physical activity. You should consult a physician before beginning any training program, especially if you have pre-existing medical conditions.
If you experience pain, dizziness, or discomfort during any training activity, stop immediately and seek medical attention. GRIND Guam is not a medical provider and does not provide medical diagnosis or treatment through the App.
13. No Guarantees of Results, Scholarships, or Opportunities
GRIND Guam does not guarantee any specific athletic results, skill improvement, scholarship offers, recruitment opportunities, or career outcomes from using the App. Training outcomes depend on many factors, including individual effort, genetics, coaching, and circumstances outside the App's control.
Any testimonials, leaderboards, or success stories displayed in the App are illustrative and not a guarantee of similar results.
14. Payments, Subscriptions, and Billing
14.1 Subscription Plans
The App offers paid Subscription plans that grant access to premium Content and features. Current pricing is $9.99 per month for the Monthly plan and $108.00 per year for the Annual plan. An Annual plan with one (1) free month may be offered as a promotion; during the free month you have full premium access and, at the end of the free month, your subscription automatically converts to the standard Annual plan at $108.00 per year unless you cancel before the free month ends. Plan pricing and features are displayed within the App and may change at any time. By subscribing, you agree to the fees associated with your chosen plan.
14.2 Payment Processing
Payments are processed by our third-party payment processor, Stripe. GRIND Guam does not store your full payment card details. Billing is handled securely by Stripe in accordance with PCI-DSS standards. By subscribing, you authorize Stripe to charge your payment method for recurring Subscription fees until you cancel.
14.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle (monthly or annually) until you cancel. You may cancel your Subscription at any time through the App's account settings; cancellation takes effect at the end of the current billing period, and no further charges will be made.
14.4 Refunds
Subscription fees are non-refundable except where required by applicable law. If you believe you were charged in error, contact us using the information in Section 27.
15. Privacy
Our collection, use, and protection of your information is described in our Privacy Policy, available within the App and incorporated herein by reference. By using the App, you agree to the practices described in the Privacy Policy.
16. Availability of Services; Modifications
GRIND Guam strives to keep the App available but does not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue any feature of the App at any time without notice.
We are not liable for any interruption, outage, or unavailability of the App, including due to maintenance, technical issues, or circumstances beyond our control.
17. Push Notifications and Communications
With your consent, the App may send push notifications regarding practice schedules, announcements, challenges, and other updates. You can manage or disable notifications through your device settings or within the App.
We may also send service-related communications to your registered email address. You may not opt out of certain account-critical communications.
18. Third-Party Content and Links
The App may contain links to third-party websites and display third-party content (e.g., YouTube scrimmage videos). GRIND Guam does not control and is not responsible for the content, accuracy, or practices of third-party sites.
Your use of third-party content and links is at your own risk. GRIND Guam is not liable for any damages arising from third-party content.
19. Disclaimer of Warranties
The App and all Content are provided "as is" and "as available" without warranties of any kind, whether express or implied. GRIND Guam disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
GRIND Guam does not warrant that the App will be error-free, secure, or available at all times, or that any training Content will produce specific results.
20. Limitation of Liability
To the maximum extent permitted by law, GRIND Guam and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of or inability to use the App.
GRIND Guam's total liability for any claim arising from the App shall not exceed the amount you paid to GRIND Guam in the twelve (12) months preceding the claim, or, if no payment was made, one hundred dollars ($100).
21. Indemnification
You agree to indemnify and hold harmless GRIND Guam, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App, your User Content, or your violation of these Terms.
22. Termination and Suspension
GRIND Guam may suspend or terminate your Account at any time, with or without cause or notice, including for violations of these Terms.
You may delete your Account at any time through the App's account settings. Upon termination, your right to use the App ceases. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall remain in effect.
23. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United States and the Territory of Guam, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the courts located in Guam, to the extent permitted by applicable law.
Before filing a claim, you agree to first contact GRIND Guam to attempt to resolve the dispute informally.
24. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify Users through the App or via email. The "Last Updated" date at the top of this page indicates when the Terms were last revised. Your continued use of the App after a change takes effect constitutes acceptance of the updated Terms.
25. General Provisions
25.1 Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
25.2 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and GRIND Guam regarding the App.
25.3 Waiver
Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
25.4 Assignment
You may not assign these Terms without GRIND Guam's prior written consent. GRIND Guam may assign these Terms without restriction.
25.5 Force Majeure
GRIND Guam is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control.
25.6 Survival
Provisions that by their nature should survive termination of these Terms shall remain in effect.
26. Electronic Acceptance
You agree that your use of the App, including clicking "agree" or creating an Account, constitutes your electronic signature and acceptance of these Terms and the Privacy Policy. You acknowledge that this electronic acceptance has the same legal effect as a handwritten signature.
